Terms of Service

These Terms of Service (“Terms”) govern your use of the MobiGram mobile application, the MobiGram website at mobigramhq.com, seller invite links and landing pages, and related services (together, “MobiGram” or the “Service”). MobiGram is operated by MobiOffice Software Innovations Private Limited (“we”, “us”, “our”), a company registered in India with its office at 514, 5th Floor, Rajhans Montessa, Dumas Road – Magdalla, Surat, Gujarat 395007, India.
By creating an account or using MobiGram you agree to these Terms and to our Privacy Policy. If you use MobiGram on behalf of a business, you confirm that you are authorised to bind that business, and “you” includes that business.
1. What MobiGram is — and is not
MobiGram is a business tool for saree and suit manufacturers, wholesalers and their trade buyers. Sellers publish design catalogues to a private, invite-only grid; buyers browse, privately shortlist, and ask questions in conversations attached to a design.
MobiGram is not a marketplace, a public catalogue, or a payment service. We do not take orders, issue quotes or invoices, collect or transfer money, arrange delivery, or act as an agent for either party. Any purchase, price, quantity, delivery or payment agreed between a seller and a buyer is a contract between those two businesses alone. We are not a party to it and accept no responsibility for it.
2. Eligibility and accounts
- MobiGram is for business use by people aged 18 or over. It is not intended for children.
- You sign in with a mobile number registered on WhatsApp, verified by a one-time password. Keep that number and your device secure; you are responsible for activity under your account.
- Each person may operate one home company in MobiGram. A seller company operates one brand. A buyer company may subscribe to any number of sellers that invite it.
- Sellers must complete business verification (including GSTIN) before they can invite buyers. You must provide accurate business details and keep them current. We may refuse, suspend or withdraw verification where details are inaccurate or we reasonably suspect misuse.
3. Invitations and private catalogues
- A seller’s catalogue is visible only to buyers that the seller has invited and who have joined. Invite links are for buyers who already have a trade relationship with the seller. Do not send invites to purchased, scraped or unsolicited lists.
- A seller may revoke an invite link at any time; buyers who have already joined remain subscribed until removed.
- Do not share, forward or publish another business’s catalogue content outside MobiGram without that business’s permission.
4. Your content
“Content” means anything you upload or send through MobiGram: design photographs, descriptions, prices, brand names and logos, messages, images and voice notes.
- You keep all rights in your Content. You grant us a limited, non-exclusive, worldwide licence to host, store, resize, transmit, display and back up your Content solely to operate, secure and improve the Service and to provide it to the buyers and sellers you have chosen to share it with.
- You confirm that you own or have the right to use your Content, that it does not infringe anyone’s intellectual property or other rights, and that it is not unlawful, misleading or offensive.
- Messages are exchanged between the trade parties in a conversation. We store and transmit them to provide the Service and do not sell them. Voice notes are retained for a limited period as described in the Privacy Policy.
- Deleting Content, closing a conversation, or deleting your account removes it from the Service as described in the Privacy Policy; copies may persist for a limited time in backups.
5. Aggregate reach — and no individual tracking
Sellers receive aggregate information only — for example, how many buyers saw a week’s designs and how many conversations started. MobiGram does not show a seller which individual buyer viewed, zoomed or shortlisted a design, and you may not attempt to obtain that information through MobiGram by any means.
6. Acceptable use
You agree not to:
- use MobiGram for anything unlawful, or to upload Content you do not have the right to share;
- impersonate another business or person, or publish under a brand you are not authorised to use;
- harass, threaten or abuse other users, or send unsolicited messages;
- scrape, copy, index or bulk-download catalogues, or attempt to access Content you have not been invited to see;
- reverse engineer, interfere with or circumvent the security, rate limits or access controls of the Service;
- resell or sublicense the Service, or use it to build a competing catalogue product.
We may remove Content, suspend or terminate accounts, or revoke verification where we reasonably believe these Terms have been breached.
7. Founding-seller programme and fees
MobiGram may be offered to sellers under a founding-seller or pilot programme. The price, billing start date, what is included, and the right to stop are set out in the written offer we present to each seller. Those offer terms form part of your agreement with us. Nothing on this website is a price or an offer to contract; the website does not collect payment. Buyers are not charged to use MobiGram.
8. Availability, changes and support
- We aim to keep MobiGram available and reliable, but it is provided on an “as is” and “as available” basis. Mobile networks, device settings (including battery and notification restrictions) and third-party services such as WhatsApp, Google Play and the App Store are outside our control.
- We may change, add or remove features, and may update these Terms. For material changes we will notify you in the app or by another prominent means before they take effect. Continued use after the change means you accept the revised Terms.
- Support during the pilot is provided by a named success owner and through the contact details on our Contact page.
9. Intellectual property
MobiGram, its software, design, logo and the MobiGram name are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or to copy, modify or distribute the software.
10. Disclaimers and limitation of liability
To the fullest extent permitted by law:
- we make no warranty that the Service will be uninterrupted, error-free or secure, or that Content is accurate, and we are not responsible for any dealings, disputes, payments or deliveries between sellers and buyers;
- we are not liable for any indirect, incidental, special or consequential loss, loss of profit, revenue, business or data, or for any loss arising from Content uploaded by users;
- our total liability to you for all claims arising out of or in connection with the Service in any twelve-month period will not exceed the fees you paid us for the Service in that period, or ₹10,000 if you paid no fees.
Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Termination
You may stop using MobiGram and request deletion of your account at any time as described in the Privacy Policy. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, and will give reasonable notice where practicable. Sections 4 (licence for retained backups), 5, 9, 10, 12 and 13 survive termination.
12. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory law, the courts at Surat, Gujarat have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service. Before starting proceedings, please contact us so we can try to resolve the issue informally.
